Terms & Policies

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and BadBoothSites LLC ("BadBoothSites," "we," "us," or "our") governing your purchase and use of any BadBoothSites products, themes, templates, software, services, and related materials (collectively, the "Products"). By purchasing, downloading, installing, or using any Product, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

1. License Grant & Restrictions

1.1 Limited License. Upon valid purchase and subject to these Terms, BadBoothSites grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Product solely for the purpose of generating and operating a single website on a single domain registered to you or your business ("Authorized Domain"). This license is a right to use, not a transfer of ownership.

1.2 Output Only. Your license entitles you exclusively to the output generated by the Product — meaning the rendered website, pages, and visual elements displayed to end users on your Authorized Domain. You are expressly not granted any right, license, or permission to access, view, copy, extract, decompile, disassemble, reverse engineer, modify, adapt, translate, or create derivative works of the underlying source code, object code, algorithms, data structures, architecture, design patterns, file structures, templates, PHP files, JavaScript files, CSS files, or any other component of the Product's codebase (collectively, "Source Code").

1.3 Single Domain Restriction. Each license is valid for one (1) domain only, as specified during activation. You may not install, activate, operate, or deploy the Product on any domain other than your Authorized Domain without purchasing an additional license. Domain transfers require written approval from BadBoothSites.

1.4 Prohibited Uses. You expressly agree that you will NOT, under any circumstances:

• Attempt to access, view, copy, extract, download, decompile, disassemble, reverse engineer, or reconstruct the Source Code through any means, including but not limited to browser developer tools, FTP access, SSH access, file managers, database queries, caching mechanisms, automated scraping, or any other technical method
• Copy, reproduce, duplicate, distribute, share, sell, resell, sublicense, lease, rent, loan, give away, or otherwise transfer the Product or any component thereof to any third party
• Modify, adapt, translate, alter, create derivative works based upon, or make any changes to the Product or any part thereof
• Remove, alter, obscure, or tamper with any copyright notices, license keys, watermarks, activation mechanisms, integrity checks, heartbeat systems, digital rights management, or other proprietary notices or security measures contained in or on the Product
• Use the Product or any extracted component to build, develop, create, or contribute to any competing product, service, theme, template, or website-building platform
• Circumvent, disable, interfere with, or attempt to defeat any license verification, domain binding, activation limit, security feature, or anti-piracy mechanism in the Product
• Share login credentials, license keys, activation codes, or any other access mechanism with any unauthorized person or entity
• Use the Product on more domains than your license permits
• Claim authorship, ownership, or credit for the Product or any part thereof
• Use the Product for any unlawful, fraudulent, defamatory, harassing, or otherwise prohibited purpose

1.5 Enforcement & Remedies. Any violation of Section 1.4 constitutes a material breach of these Terms and will result in immediate and automatic termination of your license without notice or refund. BadBoothSites reserves the right to pursue all available legal remedies, including but not limited to injunctive relief, actual damages, statutory damages, attorney's fees, and any other relief permitted by law. We actively monitor for unauthorized use and employ technical measures including but not limited to heartbeat verification, domain binding, watermarking, and integrity checking.

2. Intellectual Property

2.1 Ownership. The Product, including all Source Code, design, architecture, documentation, trade secrets, know-how, and all intellectual property rights therein, is and shall remain the sole and exclusive property of BadBoothSites LLC. Nothing in these Terms transfers any ownership interest to you. All rights not expressly granted herein are reserved by BadBoothSites.

2.2 Your Content. You retain ownership of all content you upload to your website, including but not limited to text, images, logos, photos, and videos ("Your Content"). By using the Product, you grant BadBoothSites a limited license to store and process Your Content solely as necessary to provide the Product's functionality.

2.3 Trademarks. "BadBoothSites," "Jeesh," and all related names, logos, product and service names, designs, and slogans are trademarks of BadBoothSites LLC. You may not use such marks without our prior written permission.

2.4 DMCA & Infringement. We respect intellectual property rights and expect our customers to do the same. If you believe your work has been copied in a way that constitutes infringement, contact us at support@badboothsites.com. We will respond to valid notices of alleged infringement in accordance with the Digital Millennium Copyright Act (DMCA).

3. Product Tiers & Features

3.1 Feature Availability. Features, page limits, location page limits, gallery limits, and support entitlements vary by purchased tier (Snapshot, Portrait, Studio, Red Carpet). You are entitled only to the features included in the specific tier you purchased, as described on the BadBoothSites website at the time of purchase.

3.2 Tier Upgrades. You may upgrade your tier at any time by paying the difference between your current tier and the desired tier, subject to current pricing. Downgrades are not available.

3.3 Add-Ons. Additional features, city pages, or services purchased as add-ons are subject to these same Terms and are bound to the same Authorized Domain as your primary license.

4. License Verification & Security

4.1 Activation. The Product requires activation via a valid license key tied to your Authorized Domain. You agree to provide accurate domain information during activation and to maintain a valid, active license at all times while using the Product.

4.2 Verification. The Product periodically communicates with BadBoothSites servers to verify license validity, domain authorization, and product integrity ("License Verification"). You agree not to block, interfere with, spoof, or circumvent these verification processes. Failure of License Verification may result in reduced functionality or deactivation of the Product.

4.3 Anti-Piracy Measures. The Product contains technical protection measures including but not limited to domain binding, activation limits, heartbeat monitoring, watermarking, file integrity verification, and remote asset delivery. These measures are essential to protecting our intellectual property. Any attempt to circumvent, disable, or interfere with these measures is a violation of these Terms, the Digital Millennium Copyright Act (17 U.S.C. § 1201), and applicable state and federal law, and will be prosecuted to the fullest extent permitted.

5. Support & Updates

5.1 Support. Support availability and response times vary by tier. Support is provided exclusively via email at support@badboothsites.com and is limited to issues directly related to the Product's functionality. We do not provide support for third-party plugins, hosting configurations, custom modifications, or general WordPress troubleshooting.

5.2 Updates. Product updates are provided at our sole discretion. Certain tiers include lifetime updates; others require an active support subscription ($99/year) to receive updates beyond the initial included period. We reserve the right to modify update policies with 30 days' notice.

5.3 Support Subscription. After your included support period expires, continued access to product updates and email support requires an active annual support subscription at the then-current rate (currently $99/year). Your Product will continue to function without an active subscription, but you will not receive new updates, security patches, or support.

6. Acceptable Use

You agree not to use the Product or your generated website to:

• Violate any applicable local, state, national, or international law or regulation
• Engage in any activity that is fraudulent, misleading, defamatory, obscene, or otherwise objectionable
• Distribute malware, spam, or any harmful code
• Infringe upon the intellectual property or privacy rights of any third party
• Impersonate any person or entity or misrepresent your affiliation
• Overload, disrupt, or interfere with our servers, license systems, or services

7. Disclaimer of Warranties

8. Limitation of Liability

8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BADBOOTHSITES LLC, ITS FOUNDERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PRODUCT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO BADBOOTHSITES LLC FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless BadBoothSites LLC, its founders, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Product; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) Your Content or any content displayed on your website; or (e) any third-party claim related to your website.

10. Termination

10.1 By You. You may stop using the Product at any time by deactivating your license and removing the Product from your server. No refund is owed for voluntary termination outside of the refund window described in our Refund Policy.

10.2 By Us. We may suspend or terminate your license immediately and without notice if you breach any provision of these Terms. Upon termination: (a) all rights and licenses granted to you cease immediately; (b) you must immediately cease all use of the Product; (c) you must remove the Product from all servers and domains; and (d) no refund shall be issued for termination due to breach.

10.3 Survival. Sections 1.2, 1.4, 1.5, 2, 7, 8, 9, 11, and 12 shall survive any termination or expiration of these Terms.

11. Governing Law & Dispute Resolution

11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If unresolved, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Los Angeles County, California. Judgment on the award may be entered in any court having jurisdiction.

11.3 Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against BadBoothSites LLC.

12. General Provisions

12.1 Entire Agreement. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and BadBoothSites LLC regarding the Product and supersede all prior agreements, understandings, negotiations, and discussions.

12.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12.4 Assignment. You may not assign or transfer these Terms or your license without our prior written consent. We may assign these Terms freely.

12.5 Modifications. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website at least 30 days before taking effect. Your continued use after the effective date constitutes acceptance of the modified Terms.

12.6 Force Majeure. BadBoothSites shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet/power failures.

This Privacy Policy explains how BadBoothSites LLC ("BadBoothSites," "we," "us," or "our") collects, uses, stores, shares, and protects your personal information when you visit our website, purchase our products, or use our services.

• License Information: Domain name, license key, activation data, and server IP address during product activation

1.2 Information Collected Automatically:

• Usage Data: Pages visited, time spent, click patterns, referring URLs, and browser type
• Device Information: IP address, operating system, device type, and screen resolution
• License Verification Data: Domain name, activation status, product version, and verification timestamps transmitted during routine license checks
• Cookies & Tracking: We use cookies and similar technologies as described in Section 5

2. How We Use Your Information

• Process and fulfill your purchases
• Deliver, activate, and manage your product license
• Verify license compliance and prevent unauthorized use
• Provide customer support
• Send transactional emails (purchase confirmations, license keys, support responses)
• Send marketing communications (only with your consent; you can unsubscribe at any time)
• Improve our products and services
• Detect, prevent, and address fraud, piracy, and security issues
• Comply with legal obligations

3. How We Share Your Information

We do not sell, rent, or trade your personal information. We may share your information only with:

• Payment Processors: Stripe processes your payments. Their privacy policy governs payment data handling. We do not store your full credit card number.
• Email Service Providers: For transactional and marketing emails
• Analytics Providers: Google Analytics and similar tools for website usage analysis (anonymized where possible)
• Legal Requirements: When required by law, subpoena, or court order, or to protect our rights, safety, or property
• Business Transfer: In connection with a merger, acquisition, or sale of assets, your information may be transferred to the successor entity

4. Data Retention

We retain your personal information for as long as necessary to provide our services, comply with legal obligations, resolve disputes, and enforce our agreements. Specifically:

• Account data: Retained for the duration of your license plus 3 years
• Purchase records: Retained for 7 years for tax and legal compliance
• Support communications: Retained for 3 years after last contact
• Marketing data: Until you unsubscribe, then deleted within 30 days
• License verification logs: Retained for 2 years

5. Cookies

Our website uses cookies and similar tracking technologies:

• Essential Cookies: Required for site functionality, checkout, and security. Cannot be disabled.

8. International Users (GDPR)

If you are located in the European Economic Area (EEA) or United Kingdom, we process your data under the following legal bases: (a) contractual necessity to fulfill your purchase; (b) legitimate interest to improve our products and prevent fraud; (c) consent for marketing communications. You have the right to withdraw consent at any time, lodge a complaint with your local data protection authority, and exercise all rights listed in Section 6.

9. Children's Privacy

Our Products and services are not intended for individuals under the age of 18. We do not knowingly collect personal information from children. If we learn we have collected information from a child under 18, we will delete it promptly.

10. Security

We implement industry-standard security measures including SSL/TLS encryption, secure payment processing via Stripe, access controls, and regular security audits. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

11. Changes to This Policy

We may update this Privacy Policy from time to time. Material changes will be posted on this page with an updated effective date and, where appropriate, communicated via email.

We want you to be confident in your purchase. This Refund Policy outlines the conditions under which refunds are available for BadBoothSites products.

To be eligible for a refund, ALL of the following conditions must be met:

• Your request is submitted within 7 calendar days of the original purchase date
• Your license key has not been activated on any domain
• You have not downloaded or accessed any premium theme files, Source Code, or protected assets
• You have not received done-for-you setup services (Red Carpet tier)
• Your request is submitted via email to support@badboothsites.com with your order number

3. Non-Refundable Items

The following are not eligible for refunds under any circumstances:

• Any license that has been activated on a domain
• Purchases made more than 7 calendar days ago
• City page add-on packs that have been activated or applied
• Red Carpet tier purchases where any setup work has commenced
• Annual support subscriptions after the renewal date
• Any product where a chargeback or payment dispute has been filed (see Section 5)
• Promotional or discounted purchases (including PBX Expo deals) — all promotional sales are final

4. Refund Process

1. Email support@badboothsites.com with the subject line "Refund Request — [Your Order Number]"
2. Include your full name, email address used for purchase, and order number
3. We will verify eligibility within 2 business days
4. If approved, refunds are processed to the original payment method within 5–10 business days
5. Upon refund, your license key is permanently deactivated

5. Chargebacks & Payment Disputes

If you upgrade your tier within 30 days of original purchase, the amount paid for your original tier will be credited toward the upgrade price. Upgrades are non-refundable once the new license is activated.

7. Promotional & Discounted Purchases

Products purchased at promotional or discounted prices (including but not limited to PBX Expo deals, seasonal sales, bundle pricing, or coupon codes) are final sale and not eligible for refunds. By purchasing at a discounted price, you acknowledge and accept this condition.

8. Exceptions

BadBoothSites reserves the right, at its sole discretion, to grant exceptions to this policy on a case-by-case basis. Any exception granted does not establish precedent for future requests.
